Introduction
The Mazda New Vehicle Purchase Plan is offered by Mazda North American Operations to encourage MNAO employees, retirees, their families and Mazda's business partners to drive new Mazda products. Vehicles may be purchased or leased from participating franchised Mazda Dealers authorized by the Mazda Dealer Agreement.
To the extent that any of the terms or conditions contained in this document is inconsistent with any other existing descriptions of the New Vehicle Purchase Plan, the terms of this document will control. The Company reserves the right to modify or discontinue the New Vehicle Purchase Plan at any time without notice.

Eligibility

- Individuals who are enrolled in the Mazda co-op program whether they are working or at school.
- Supplemental employees and nonemployees, including contract personnel
- MNAO Employees may sponsor up to two individuals for vehicle purchases per year. These people can be potential purchasers or owners of competitive products, but not limited to:
- grandparents
- nephews
- grandchildren
- nieces
- aunts
- cousins
- uncles
WHO's NOT ELIGIBLE FOR THE S-PLAN?- Employees who terminate, effective with the date of termination
- Family members of Surviving spouses after the Surviving Spouse is deceased
- All others not specifically mentioned as eligible in the preceding section
Products
WHAT PRODUCTS ARE AVAILABLE UNDER THE S-PLAN?
- Up to two new, current model and prior model year vehicles sold in the United States, equipped with any regular production optional equipment, may be purchased or leased each calendar year.
- Vehicles may be ordered from production or may be selected from the inventory of the dealership, if the dealer agrees. Dealers are not required to participate, but if they do, they must be an authorized Mazda Dealer for the product sold and agree to abide by the New Vehicle Purchase Plan guidelines set forth in this document.
Optional equipment installed by the dealership and aftermarket services provided by the dealership are not covered under the New Vehicle Purchase Plan. The dealership may charge any agreed-upon price for these items. Dealer-installed equipment or services, such as undercoating, must be individually listed and priced separately on the buyer?s order.- Each product purchased or leased will be covered by the same warranty and policy as those offered to retail customers.
- Used vehicles, including those reported as dealer demonstrators, regardless of mileage.
- Products sold under any other Company plan.
- Mazda demonstrator and lease vehicles and any other vehicle put in service for company use.
- Any model that Mazda North American Operations may restrict
under the S-Plan.
Registration, Purchase & Delivery
HOW DOES A QUALIFIED S-PLAN PARTICIPANT GET A VEHICLE?
- To participate in the S-Plan, the participant must obtain a PIN. To request a PIN:
1. Go to www.mazdausa.com/splan to access the S-Plan introductory page. Follow the instructions on the page to link to the PIN Request form.
2. Complete all required fields as indicated on the form. Click the button at the bottom of the form to submit your PIN request. Suppliers will need to enter their Supplier Code to process the PIN request.
3. The PIN Certificate displays your PIN and personal information. Click the Print button to print this page.
4. T
ake your printed PIN Certificate with you when you visit the dealership.
For S-Plan participants who work at or near our Corporate Headquarters, contact the New Vehicle Purchase Plan Coordinator in the Distribution Department at MNAO Headquarters in Irvine.

- The participant can go to a dealership and select a vehicle from the dealer's inventory or have a unit shipped to a participating dealer.
- The participant should immediately identify himself/herself to the dealer as being eligible for the S-Plan and present a copy of the printed PIN Certificate to the dealer. This ensures the proper S-Plan price will be given to the participant. The S-Plan price is located on the left side of the vehicle invoice. This price is before tax, licence and applicable incentives are applied.
- If there are any questions or concerns about the terms of the purchase, ask the dealer for clarification before closing the transaction or consult with a MNAO New Vehicle Purchase Coordinator.
- The participant will be advised each time one of the two yearly New Vehicle Purchase S-Plan privileges has been used.
WHAT ABOUT TRADE-IN, FINANCING AND INSURANCE?
- Trade-in allowance is not covered by the New Vehicle Purchase Plan and must be negotiated with the dealership.
- Financing may be obtained at the customer's discretion from any source.
- Noneligible family members may appear as cosigners or comakers of the loan or other financing agreement, but cannot appear on the Vehicle Title or Registration
- New Vehicle Purchase Plan customers are required to provide their own liability and collision insurance for both purchases and leases. Lessees should request information about these amounts from the dealer prior to obtaining insurance and signing the final lease papers.
- Vehicles must be retained in the customer's possession and registered in the customer's name for at least six months from the date of purchase or lease.
WHEN DOES DELIVERY TAKE PLACE?
New Vehicle Purchase Plan customers must accept delivery and make final
settlement within five working days of notification by the dealership that the vehicle is available for delivery. Unless otherwise agreed to between the dealership and the New Vehicle Purchase Plan customer, vehicle disposition becomes the sole responsibility of the delivering dealership on the sixth day.

New Vehicle Purchase S-Plan transactions are subject to the following conditions:
Vehicles must be registered and titled Only to the approved S-Plan participant or the immediate family members as identified under the heading Whos Eligible for the S-Plan For all of the above customers, vehicles may be jointly registered or titled provided that both parties are eligible under the Sponsors New- Vehicle Purchase Plan. Vehicles also may be registered in the name of a participant?s trust provided that the participant?s name is included in the name of the trust, e.g., John Smith Trust.
- Vehicles may not be registered or titled in the name of a business. Vehicles purchased or leased by immediate family members count against the two vehicles that an S-Plan participant may purchase or lease during any calendar year. Vehicles leased under the Mazda American Credit Lease Option will be titled in the name of Mazda American Credit or as directed by Mazda American Credit, but must conform to the above registration requirements.
- Vehicles must be retained in the customers possession and registered as provided above for at least six months from the date of purchase or lease.
- The solicitation or acceptance of money, items of value or discounts off the New Vehicle Purchase Plan price as defined in this document from a dealership or anyone connected with or acting on behalf of the dealership, in connection with the purchase or lease of a vehicle under the New Vehicle Purchase Plan, is contrary to the Plan?s provisions and to Company policy and is prohibited. Also, customers must do business with dealership employees at the dealership and may not use brokers or bird dogs.
- If after ordering a vehicle under the terms of the New Vehicle Purchase Plan, the customer cannot take delivery from the designated dealership, the customer must promptly advise the proper dealership representative, and the customer must refrain from signing any dealership document indicating acceptance or delivery of the vehicle.
WHAT IF A CUSTOMER IGNORES THE CONDITIONS?
Mazda will not ignore abuse of the New Vehicle Purchase Plan. Plan abuse may cost Mazda inappropriate dealer reimbursements. Those unnecessary payments impact all Mazda employees because the payments detract from Mazda profits, which provide a basis for future product programs and capital expenditures.- In those instances where Mazda determines that no legitimate reason exists for refusing delivery, the customer will be held responsible.
- The purchase, lease and disposal of vehicles under the New Vehicle Purchase Plan are monitored regularly for abuse through a computerized system. Customers who do not comply with the requirements noted above will be contacted and asked to explain the circumstances involved.
- The privilege to participate may be withdrawn or suspended if Mazda determines that the participating customer has violated the provisions of the New Vehicle Purchase Plan or company policy. The sponsoring employee may be subject to disciplinary action, including termination of employment.
Pricing
HOW ARE S-PLAN PRICES DEVELOP?
S-Plan prices represent a substantial discount from MSRP and include any retail incentive if applicable.
Under the S-Plan...
The S-Plan price is printed on the factory invoice. The dealer is required to provide the customer with a true copy of the factory invoice showing the New Vehicle Purchase Plan price.- The dealership may charge any price negotiated between the dealer and the customer for undercoating, dealer-installed options, extended service contracts and other items or services that add value to the vehicle, provided such items are priced separately and listed individually on the retail buyers order.
- Prices established by the New Vehicle Purchase Plans are nonnegotiable.
- The customer is responsible for all federal, state and local taxes, license and title fees.
- The New Vehicle Purchase Plan customer is entitled to the price in effect at the time the vehicle was invoiced. Any money refunded to the dealer by Mazda for price increases occurring after the order is submitted, but before shipment to the dealer, must be refunded to the customer.
- The dealership may require the New Vehicle Purchase Plan customer to make a deposit when
placing a vehicle order. The dealership may retain some or all of this deposit if the customer declines to accept delivery of the product ordered. An agreement in writing should be reached with the dealership concerning the amount of the deposit and the conditions under which the dealership may retain it if the transaction is not completed. - Mazda American Credit lease transactions may require a refundable security deposit. The security deposit is held until the end of the lease and is refunded, provided that the lease terms have been satisfied. The deposit is usually equal to one months payment, rounded to the next $25

WHAT ARE SOME COMMONLY ASKED QUESTIONS?

Q. Do I always have the choice to purchase or lease?
A. Yes. You can purchase or lease any qualified vehicle in the New Vehicle Purchase Plan provided you are a qualified participant with a good credit rating.
Q. How long do I have to keep an S-Plan vehicle?
A. You must keep an S-Plan vehicle in your possession and registered in your name for at lease six months from the date of purchase or lease.
Q. Can I purchase a used vehicle, dealer demonstrator or a Mazda company demonstrator on the S-Plan?
A. No. The S-Plan is only for new vehicles. See the section ?What Products Are Available Under the S-Plan While Mazda company demonstrator vehicles are not available under the E- and S- Plans, they are still available for purchase. Q. What can happen to me if I don?t follow the Plans rules and abuse my privileges?
A. Disregard for the rules of the New Vehicle Purchase Plan is a serious matter. Violations of the Plans rules, as described in this brochure under the Conditions heading, can result in:
- Having to repay the participating dealerships reimbursements
- Being suspended from participating in the Plan
- Facing other disciplinary action, which could include termination of employment
Q. Information Ive been given elsewhere conflicts with the rules in this booklet. What should I do?
A. For clarification of Plan Rules, contact your local New Vehicle Purchase Plan Coordinator with your concern before closing any sale or lease transaction. Remember that you are responsible for assuring that your Plan Eligibility is used according to the Rules. This includes sales and leases you sponsor for family members.
